These Terms govern your access to and use of Zeitora operated by Zeitora Inc.. By creating an account or using the Service, you agree to these Terms.
1. Acceptance
By accessing Zeitora, you agree to these Terms of Service, our Privacy Policy, Cookie Policy, AI Processing Notice, and Health & Safety Notice, which are incorporated by reference.
If you do not agree, do not use the Service.
2. Eligibility and accounts
You must be at least 18 years old (or the age of majority in your province) to create an account, unless you are a caregiver or authorized organization representative acting with proper authority.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You agree to provide accurate registration information and keep it up to date.
3. Roles and permissions
The Service supports seniors, caregivers, and organization administrators. Access to a senior's information is limited by role and explicit assignments within a care circle.
Caregivers and organization staff must only access information they are authorized to view and must comply with applicable professional obligations and organizational policies.
4. The Service
Zeitora provides AI-guided conversations, memory experiences, routines, and related tools designed to support emotional engagement and reminiscence.
We may modify, suspend, or discontinue features with reasonable notice where practicable.
5. AI limitations — important
The AI companion ("Iris") generates responses automatically. Outputs may be incomplete, outdated, or incorrect.
Zeitora is not a medical device and does not provide medical diagnosis, treatment, or emergency services. Do not rely on the Service for crisis intervention. In an emergency, contact local emergency services immediately.

6. Your content
You retain ownership of content you submit (memories, messages, uploads). You grant us a limited license to host, process, display, and transmit that content solely to operate and improve the Service, including AI and voice processing as described in our policies.
You represent that you have the rights to upload content and that it does not violate law or third-party rights.
7. Acceptable use
You agree not to:
Use the Service for unlawful, harmful, harassing, or deceptive purposes.
Attempt to access another user's data without authorization.
Reverse engineer, scrape, or overload our systems.
Upload malware or content that infringes intellectual property or privacy rights.
Use the Service to train competing models on our outputs without written permission.
8. Organizations
If your care organization subscribes to or deploys the Service, additional agreements may apply. Organization administrators are responsible for configuring access and informing residents and families how data is used.
9. Fees
Certain features may require payment in the future. Pricing and billing terms will be presented before you are charged.
10. Termination
You may stop using the Service at any time and request account deletion via support.
We may suspend or terminate access for breach of these Terms, risk to users, or legal requirements.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZEITORA INC. AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability for any claim relating to the Service will not exceed the greater of (a) amounts you paid us in the twelve months before the claim, or (b) one hundred Canadian dollars (CAD $100), except where liability cannot be limited by law.
13. Indemnity
You agree to indemnify and hold harmless the Company from claims arising out of your misuse of the Service or violation of these Terms, except where caused by our gross negligence or willful misconduct.
14. Governing law
These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict-of-law rules. Courts in Ontario, Canada shall have exclusive jurisdiction, unless mandatory consumer protection rules in your province require otherwise.
